Acceptance of Terms

By accessing or using Mdream ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

Description of Service

Mdream is a desktop application that monitors publicly available RSS feeds and community posts from platforms such as Reddit, Hacker News, IndieHackers, ProductHunt, and others. The Service allows you to:

• Monitor RSS feeds and community posts based on keyword clusters
• Filter and organize leads locally on your computer
• Access AI-powered insights (on applicable subscription tiers)
• Export data to CSV format (on applicable subscription tiers)

The Service operates as a desktop application that processes data locally on your device. Your lead data, keywords, and settings remain on your computer and are not transmitted to our servers except as necessary for license verification.

Account Registration and Responsibilities

To use Mdream, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Account Security: Maintaining the security of your account credentials and for all activities that occur under your account
• Accurate Information: Providing accurate and truthful information when registering and updating your account
• Account Activity: All activities under your account, whether authorized by you or not
• Notification: Immediately notifying us of any unauthorized use of your account

You must not share your account credentials with others. Each account is intended for use by a single individual or organization.

Free Trial

Mdream offers a 3-day free trial for new users. During the trial period:

• You have access to Growth-tier features for 3 days
• No charges will be applied until the trial period ends
• A valid payment method is required to start the trial
• At the end of the trial, your subscription will automatically begin unless you cancel before the trial ends

Subscription and Payment Terms

Subscription Plans

Mdream offers various subscription plans with different features and limits. Subscription plans are billed on a monthly basis unless otherwise specified. Current plans include:

• Starter: Basic monitoring features with limited capabilities (1 seat)
• Growth: Enhanced features including AI insights (multiple seats)
• Scale: Full-featured plan with unlimited capabilities (multiple seats)

Seats and Multiple Devices

Subscription seats determine how many devices can be activated with your license:

• Starter Plan: Limited to 1 seat (single device)
• Growth and Scale Plans: Multiple seats allowed based on your subscription tier
• License keys are tied to your account and may not be transferred or shared

Billing and Payment

By subscribing to Mdream, you agree to pay the subscription fees as displayed at the time of purchase. Payment is processed through Stripe, our third-party payment processor.

• Subscriptions are billed monthly in advance
• Fees are charged automatically to your payment method on file
• You are responsible for maintaining valid payment information
• All fees are non-refundable except as specified in our Refund Policy below

Refund Policy

We offer refunds within 7 days of initial purchase or subscription renewal, provided you contact us at support@mdream.app within that timeframe. Refunds will be processed to your original payment method within 5-10 business days.

Refunds are not available for:

• Subscriptions cancelled after 7 days from purchase
• Partial subscription periods
• Accounts terminated for violation of these Terms

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@mdream.app. When you cancel:

• Your subscription will remain active until the end of your current billing cycle
• You will continue to have access to all features until the end of the paid period
• No further charges will be applied after the current billing period ends
• Cancellation does not entitle you to a refund for the current billing period

Failed Payments

If payment fails, we may suspend your account until payment is resolved. You will be notified of payment failures via email. If payment is not resolved within a reasonable timeframe, your account may be terminated.

License and Usage Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Mdream desktop application
• Use the Service in accordance with your subscription plan
• Access features included in your subscription tier

This license does not permit you to:

• Reverse engineer, decompile, or disassemble the Service
• Modify, adapt, or create derivative works of the Service
• Remove or alter any proprietary notices or labels
• Share, transfer, or sublicense your license key or account
• Use the Service for any commercial purpose not explicitly permitted

Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or in violation of any laws or regulations
• To violate the terms of service of any third-party platforms (Reddit, Hacker News, etc.)
• To scrape, harvest, or collect data in violation of platform policies
• To spam, harass, or harm others
• To interfere with or disrupt the Service or servers
• To create multiple accounts to circumvent trial limitations or subscription restrictions
• To impersonate any person or entity
• To transmit any viruses, malware, or harmful code
• To attempt to gain unauthorized access to the Service or related systems

Violation of these prohibitions may result in immediate termination of your account without refund.

Intellectual Property Rights

The Service, including its original content, features, functionality, design, and software, is owned by Mdream and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our Rights

Mdream and its licensors retain all rights, title, and interest in and to the Service. This includes all software, trademarks, logos, and other proprietary materials.

Your Data

You retain all ownership rights to data you create, store, or process using the Service. This includes your keyword clusters, lead data, and custom configurations. However, by using the Service, you grant us a limited license to access this data only as necessary to provide the Service (e.g., license verification).

Feedback

If you provide feedback, suggestions, or ideas about the Service, you agree that we may use them without any obligation to compensate you.

Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Termination by You

You may terminate your account at any time by cancelling your subscription as described in the Cancellation section above.

Termination by Us

We may terminate your account if:

• You violate these Terms
• Payment fails and is not resolved
• You engage in fraudulent or illegal activity
• You attempt to circumvent subscription limitations

Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• Your license key will be deactivated
• We may delete your account information
• Your local data remains on your device and is not deleted by us
• You will not be entitled to a refund for any unused portion of your subscription

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The results obtained from using the Service will be accurate or reliable

You use the Service at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MDREAM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or your data
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or similar that may be transmitted through external websites accessed through Mdream
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Mdream, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy or intellectual property rights
• Your violation of any applicable laws or regulations

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state and federal courts located in California. You consent to the exclusive jurisdiction and venue of such courts.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
